VIP MEMBERSHIP

WHEREAS, the Member owes the AQHC a certain fee; and

WHEREAS, the AQHC and the Member desire to enter into an agreement to memorialize this fee and an associated payment plan;

NOW THEREFORE, in consideration of  the mutual promises, covenants, and conditions contained herein, the Parties agree as follows: minimum 12 month agreement and minimum payment of $6,000 for the 12 month term.

The Member represents and warrants this Payment Plan was developed in such a manner that the Member can make the required payments without causing further fee or detriment by either weekly, fortnightly, monthly, 3 monthly, half yearly or yearly payments.

1. Release and Indemnification. By entering into this Payment Plan, the AQHC agrees to release the Member from any previous claims, actions, and/or liabilities due to the Fee. The Parties agree this Agreement does not release the Member of any obligations to pay the Fee.
2. Default. If the Member defaults on its payments and fails to cure said default within a reasonable amount of time, the AQHC will have the option to declare the entire remaining amount of Principal and any accrued interest, if applicable, immediately due and payable.
3. Representations and Warranties. Both Parties represent that they are fully authorized to enter into this Agreement. The performance and obligations of either Party will not violate or infringe upon the rights of any third party or violate any other agreement between the Parties, individually, and any other person, organization, or business or any law or governmental regulation.
4. Severability. In the event any provision of this Agreement is deemed invalid or unenforceable, in whole or in part, that part shall be severed from the remainder of the Agreement and all other provisions should continue in full force and effect as valid and enforceable.
5. Waiver. The failure by either Party to exercise any right, power, or privilege under the terms of this Agreement will not be construed as a waiver of any subsequent or future exercise of that right, power, or privilege or the exercise of any other right, power, or privilege.
6. Legal Fees. In the event of a dispute resulting in legal action, the successful Party will be entitled to its legal fees, including, but not limited to its attorneys’ fees, collection fees and the like.
7. Legal and Binding Agreement. This Agreement is legal and binding between the Parties as stated above. This Agreement may be entered into and is legal and binding in a Australia The Parties each represent that they have the authority to enter into this Agreement.
8. Governing Law and Jurisdiction. The Parties agree that this Agreement shall be governed by the State and/or Country in which both Parties reside/do business. In the event that the Parties reside/do business in different States and/or Countries, this Agreement shall be governed by Australian law.
9. Entire Agreement. The Parties acknowledge and agree that this Agreement represents the entire agreement between the Parties. In the event that the Parties desire to change, add, or otherwise modify any terms, they shall do so in writing to be signed by both Parties.

The Parties agree to the terms and conditions set forth above as demonstrated by their signatures as follows:

1. MISSION STATEMENT

In good conscience and in good faith, without objection, Member hereby adopts and agrees to the stated philosophy, principles, and beliefs reflected in the following Mission Statement of Aussie Quantum Healing Centre.

We are a private member association of men and women of faith and strong moral principles. We affirm that all of our rights including the right to life, liberty, the pursuit of happiness, and the freedom of assembly are God-given. We assemble as a private community of like-minded men and women standing peaceably to protect and enforce the natural inalienable and unalienable rights afforded to us by Nature’s good. Mark 4:11 states that it is given to us to know the mystery of the kingdom, which mystery we interpret to be our freedom as heirs to the kingdom.

We believe the Holy Bible to be the authoritative source of most systems of law in the modern world, hence, key to securing our rights and freedoms. We do not espouse any religion or form of spiritual practice, nor do we proselytize. We live by the two great commandments from which all law emanates; to love god with all our heart, soul and mind, and to love our neighbour as ourselves. We fulfil these tenets by acts of love, kindness, and service with honour, dignity and respect to our fellow man. We are not at war. We strive always to be at peace with all men, without compromise to our divine inheritance in fee simple absolute.

2. PHILOSOPHY AND METHODOLOGY.

The Association models its administration, philosophy, methodology, protocols and procedures applying the principles of Christianity as funded in the Holy Bible (including the 1611 King James version) on the basis of their almost universal application to the world systems of law and governance.

The Association does not endorse religion. It applies Biblical principle without prejudice to any religion or spiritual practices, or the absence thereof. The Association operates from the premise that the bible is the authoritative source of most systems of law in the modern world an dour divine inheritance as heirs to the kingdom of God. Just as the Bible has been used as a foundation of the world systems that enslave the masses, it also contains the wisdom to unlock the mystery of the kingdom. Member hereby, in good conscience and in good faith, without objection, expressly adopts and agrees to the Association’s philosophy and methodology as set out in the Mission Statement in Paragraph 3, above, and in this Paragraph 4.

MEMBERSHIP TERMS

A Private Membership Agreement, hereinafter referred to as “Agreement,” may be requested at any time and becomes effective as of the date of acceptance by Aussie Quantum Healing Centre:

Aussie Quantum Healing Centre (the “Association”) is a private membership association without Australia. For and in consideration of the mutual promises and covenants herein, the person requesting membership hereby represents, warrants, affirms and agrees as follows:

1. AGE OF MAJORITY, CAPACITY TO CONTRACT.

Member Applicant is of the age of majority and discretion, is of sound mind, is of sufficient intellect and reasoning to understand both the terms of the Agreement and their significance, and has full legal capacity to enter into a binding contract and to assume the rights and obligations set out in this Agreement. Member Applicant enters into this Agreement knowingly, willingly and intentionally as an act of his/her own free will.

2. TERMS OF GOOD STANDING, TERMINATION

Member is entitled to all benefits and privileges of membership in the Association so long as Member shall maintain good standing, including being current in membership donations, continued adherence to, and living and walking in accord with the stated intent and spirit of the Association Mission Statement and the Philosophy and Methodology, and adherence otherwise to all terms of this Agreement and the Privacy Agreement . Membership shall not extend to family members above the age of eighteen (18), who may become members themselves. Member affirms and agree that failure to make the membership participation or donations (if applicable) may subject the member to termination at the discretion of the Association.

Member affirms and agrees that any conduct that is, at discretion and determination of the Association, discordant or contrary to the principles and terms the Association Mission Statement or the Philosophy and Methodology, or that constitutes material breach of this Agreement or the Privacy Agreement may result in immediate termination of membership. No action or inaction on the part of the Association under this provision shall constitute waiver of the Association’s right to exercise its rights and duties under this provision at any time within its absolute and exclusive discretion.

3. CONTINUATION OF MEMBERSHIP AND TERMINATION IN WRITING.

This Membership Agreement shall continue until terminated by either Party in writing. Membership remains active providing Member accesses services at least once within each 18-month period. Should Member not access services within this time frame, Member must provide Association with written notice and continuation of membership will be at the discretion of the Association. This Agreement will also terminate upon the death of the Member or upon the discontinuance or dissolution of the Association, without prejudice to either party.

4. MEMBERSHIP OUTCOMES.

Member is entitled to use of Association-branded proprietary document, logos, symbols, templates, protocols, procedures, written resources and other Association-branded written work product (collectively, “Written Work Product”) provided as a service to members only. Member affirms and agrees to use such Written Work Product in honour, in good faith, and in keeping with the principles and philosophy of the Association.

5. NON-DILUTION OF PROPRIETARY WRITTEN WORK PRODUCT.

When specified by the Association in any written instructions, Member shall use Written Work Product only in the original form provided without editing, modifying, altering, adding to, eliminating from, combining or merging or splicing with the written work product of others, o in any other way changing or diluting (collectively, “Diluting” of “Dilution:) the Written work Product of the Association. Any Dilution of Association Written Work Product may alter its intended purpose and effectiveness and is strictly prohibited. Any diluting of the written Work Product may not be done in the name of the association or with the use of the Association logos, symbols or seals. The Association does not and will not back or support any Member in the event of any use of its Written work Product contrary to the terms of this provision, and such use is strictly prohibited. Any such use is done at Member’s own risk without prejudice or liability to the Association. Such unauthorized use also constitutes a material breach of this Agreement and grounds for immediate termination of membership.

6. THIRD-PARTY VENDORS.

Some Membership Services may be provided by third parties. The Association does not represent nor govern nor shall be held liable for the actions of any third-Party regarding their services.

7. INDEMNITY.

Each Party agrees to defend, indemnify, and hold harmless the other Party and its officers, trustees, representatives, agents, affiliates, and employees form any and all third-party claims, demands, liabilities, costs and expenses, including reasonable attorney fees, costs and expenses resulting from the indemnifying party’s material breach of any duty, representation, or warranty under this Agreement.

8. DISCLAIMER.

It is Member’s exclusive and non-delegable responsibility to thoughtfully review and consider the terms of this Agreement as well as any Written Work Product or services offered or contemplated under the terms of this Agreement and as part of any membership benefit, before making any decisions as to application of such Written Work Product or services for Member’s own use or unique circumstances, within Member’s exclusive an absolute discretion, including whether to seek advice from legal counsel, or other professionals or advisors of Member’s choosing, as Member’s own cost, before making such decisions. Member agrees to hold the Association harmless from any claims or damages arising out of any such decisions exercised by Member within Member’s exclusive and absolute discretion.

PRIVACY AGREEMENT

It is clearly understood and agreed that the Membership participation with Aussie Quantum Healing Centre is solely between private persons , meaning individuals who are not the incumbent of an office and thereby public. Accordingly, Aussie Quantum Healing Centre, a Private Membership Association, and Member agree not to distribute, forward, disseminate, post, publish, broadcast, redistribute, sell, share, otherwise disclose private matters in any manner on in any media not contemplated by this Agreement or otherwise authorized by express written consent.

1. PRIVATE INFORMATION

The term “Private Information” means any information or material which is provided to or by Aussie Quantum Healing Centre resulting from Member participation which is not generally known other than by Member or Aussie Quantum Healing Centre, and which may be obtain through any direct or indirect contact with the Aussie Quantum Healing Centre including but not limited to emails, phone conversations, conference calls, social media communications, audio recordings, recorded and/or live-stream videos or webinars or other broadcasts or telecasts, downloads, written work product, documents, samples created by Aussie Quantum Healing Centre or third party with which Aussie Quantum Healing Centre deals, including without limitation, documents, research, correspondence samples, educational information processes, procedures, protocols, or intellectual property shared by Aussie Quantum Healing Centre that is not public knowledge or publicly published. The nature of the information and the manner of disclosure are such that a reasonable person would understand it to be confidential.

2. PROTECTION OF CONFIDENTIAL INFORMATION

Members understands and acknowledges that the Private information may be developed or obtained by the Aussie Quantum Healing Centre and that the Confidential Information is a valuable, special and unique asset which needs to be protected from improper disclosure. In consideration for the participation Member and Aussie Quantum Healing Centre agree as follows:

A. NO DISCLOSURE

The Aussie Quantum Healing Centre and Member will hold the Private Information in confidence and will not disclose the Private Information to any person or entity, be they natural or artificial, public or private, by telephone, fax, copy, email, broadcast or publication in any media or social medial platform, picture, conversation, or any writing, recording, electronic file or transfer of information on or by any medium without the prior written consent by both Member and Aussie Quantum Healing Centre.

B. NON-DISSEMINATION NON-DISTRIBUTION FOR SALE.

Aussie Quantum Healing Centre and Member agree not to distribute, forward, disseminate, post, publish, broadcast, redistribute, sell, share, otherwise disclose private matters in any manner on in any media not contemplated by this Agreement or otherwise authorized by express written consent.

C. NON-DISCLOSURE

Effective on the Date of Membership and for as long as Member is a participant as Member in Good Standing both parties agree to protect all private material and information which may be disclosed between the Aussie Quantum Healing Centre and its Members.

D. RELATIONSHIP OF PARTIES

Neither Aussie Quantum Healing Centre or Member have an obligation under this Privacy Agreement to purchase any service or item from the other party, or commercially offer any products using or incorporating the Private Information This Privacy Agreement does not create any agency, partnership, or joint venture.

E. LIMITED AUTHORIZATION TO USE

The Member acknowledges that, as between the Aussie Quantum Healing Centre and Recipient, the Private Information and all related common law and/or registered copyrights and other intellectual property rights, are (and at all times will be) the property of the Aussie Quantum Healing Centre, excepting any property included documents granted to the Member for Member’s private use, even if suggestions, comments, and/or ideas made by the Member are incorporated into the Private Information or related materials during the period of the Privacy Agreement.

3. INDEMNITY

Each party agrees to defend, indemnify, and hold harmless the each other, distributors, representatives, and employees from any and all third party (including government agencies not a party to this Privacy Agreement, or any private agreements between the parties) claims, demands, liabilities, costs and expenses, including reasonable attorney fees, costs and expenses resulting from the indemnifying party’s material breach of any duty, representation, or warranty under this Privacy Agreement. Member and Aussie Quantum Healing Centre participate knowingly, willingly and intentionally of their own free will, act and deed and hold each other harmless except for material breach or intentional wrong.

4. ASSOCIATED FEES

In any legal action between the parties concerning this Privacy Agreement, the prevailing party shall be entitled to recover reasonable fees and costs.

4.1 In-House Dispute Resolution Process

The parties of Aussie Quantum Healing Centre, by signing below, declares that they agree to and will abide by the In-House Dispute Resolution protocol laid out below:

IN-HOUSE DISPUTE RESOLUTION PROTOCOL
Member agrees to hold the Association, its owners, trustees, representatives and staff harmless against any and all liability for any unintentional harm that may occur during membership and arising out of Member’s use of Association Write Work Product, services or other benefits of membership, except for harm resulting from gross negligence or intentional misconduct on the part of the Association. Member expressly and in good faith agrees to and affirms, without objection, the Association’s protocol of handling any disputes with the Association directly as private Associations business (“In-House dispute Resolution”), without resorting to public of pseudo-public courts, administrative bodies, or other public forums. In-House Dispute Resolution shall be limited to the following two phases:
Member will present any matter in dispute to the attention of the Association in writing affirming and attesting to the nature of the dispute, the description of the claimed harm to the Member, and a description of the Member’s desired peaceable resolution, giving the Association reasonable time of no less than 21 calendar days to respond, and allowing for continued deliberation and reasoned and peaceable dialogue on the issue until the matter may be resolved to the satisfaction of both Parties.

Arbitration Clause
If a dispute arises and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by Peacemaker Equity under the Peacemaker Equity rules before resorting to arbitration. The parties agree to waive their right to sue or litigate in any public court and agree to try in good faith for to informally resolve any dispute via negotiation and mediation for at least 30 days before starting arbitration.
The mediation will be conducted in person at a specified location or via video conference or phone call and all documentation/evidence relating to the dispute and any negotiation which has taken place is to be provided via email to info@peacemakerequity.com at least 7 days before the mediation can commence.
If the mediation process is unsuccessful and arbitration is required, the party seeking arbitration must send the other parties a written notice with a detailed explanation of the dispute, its basis and the relief sought with an accompanying affidavit. If the parties do not reach an agreement to resolve the dispute via negotiation or mediation within 30 days after the date of the notice was sent, then the parties may start arbitration as described below. Notice to Peacemaker Equity may be sent it to info@peacemakerequity.com . Notice to you as Member will be sent to the email address associated with your account unless a different email address is requested.

The parties agree that Peacemaker Equity administer the arbitration, and the arbitration will be governed by the principles of equity. The rules and principles for the Peacemaker Equity arbitration process are found at http://peacemakerequity.com . The arbitrator is bound by these rules and principles. The arbitration will be conducted via video conference, in person or my phone call. All documentation/evidence must be provided to info@peacemakerequity.com and the parties agree that the arbitrator’s judgment will be final and binding under applicable law, and may be entered in a court of competent jurisdiction for enforcement. The arbitration costs will be shared between all parties, according to the Peacemaker Equity rules. The parties agree that if they are unhappy with the outcome of the arbitration, they can appeal the decision to a jury of twelve which will be conducted via video conference, in person or by phone call, with all documentation/evidence to be provided to info@peacemakerequity.com.

5. TERM

The obligations of this Privacy Agreement shall survive for (1) year after termination of Member’s Membership in Aussie Quantum Healing Centre, if any or two (2) years form the signature date of this Privacy Agreement or until the Aussie Quantum Healing Centre sends the Member written notice releasing the Member from this Privacy Agreement. Even after that, the Member and Aussie Quantum Healing Centre must continue to protect the Private Information that was received during the term of this Privacy Agreement from unauthorized use or disclosure.

6. GENERAL PROVISIONS

This Privacy Agreement sets forth the entire understanding of the parties regarding confidentiality. Any amendments must be in writing and signed by both parties. This Privacy Agreement shall be construed exclusive under the law of equity and the common law of Australia without Australia. This Privacy agreement shall not be assignable by either party. Neither party may delegate its duties under this Privacy Agreement without the prior written consent of the other party. The confidentiality provisions of this Privacy Agreement shall remain in full force and effect at all times in accordance with the terms of this Privacy Agreement. If any provision of this Privacy Agreement is held to be invalid, illegal or unenforceable, the remaining portions of this Privacy Agreement shall remain in full force and effect and construed so as to best effectuate the original intent and purpose of this Privacy Agreement.

I declare that:
• I enter into this agreement of my own free will
• I choose to establish this agreement between Aussie Quantum Healing Centre (AQHC) and myself
• I agree to be responsible for my own actions and for the consequences of how I apply any of the knowledge or benefits I gain here
• I understand that it is my responsibility to provide all of the required information to AQHC and to update this information should things change in the future
• I understand that providing false or misleading information with regards to this Declaration could lead to AQHC revoking my membership
• I understand that AQHC will retain absolute privacy of my details unless a criminal law has been broken
• I am in my own right and private capacity as a man/woman, and not as an agent or representative for any governmental or non-governmental agency or organisation whose purpose is to enforce a legal code, act or statute where no man or woman has been harmed, or to carry out any mission of entrapment or investigation. I understand that this will be considered to be trespass by way of barratry and that I, will become immediately liable to pay compensation under this agreement, in the amount of $10,000,000 USD.

Our scheduling system is set on 2-hour time slots. However, if you book an overnight package by selecting a 9pm – 11pm time slot, the time between 11pm – 7am is automatically included in your booking.
